1. Definitions
"Oprello" means Oprello, Inc., the operator of the Oprello ad exchange platform. "Publisher" means any individual or legal entity that has registered an account with Oprello for the purpose of monetizing mobile applications.
2. Services
Oprello operates a real-time bidding (RTB) ad exchange compliant with the OpenRTB 2.5 specification. Oprello connects Publishers' mobile App inventory with DSPs.
3. Publisher Obligations
Publisher must own or control registered Applications, ensure content complies with applicable laws, implement the SDK correctly, not generate fraudulent traffic, and maintain valid payment information.
4. Revenue and Payments
Oprello operates on a revenue share model. Publisher's share is paid on Net-60 payment terms. Payments are processed once the minimum payout threshold of $100 USD is reached.
5. Data and Privacy
Both parties agree to comply with GDPR, CCPA, COPPA, and all other applicable privacy laws. Publisher is solely responsible for obtaining user consent.
6. Intellectual Property
Publisher grants Oprello a license to serve ads within Publisher's Apps. Each party retains ownership of its own intellectual property.
7. Term and Termination
Either party may terminate with 30 days' written notice. Final payments are due within 60 days of termination.
